Terms and Conditions

1. Introduction

These Terms & Conditions govern the access and use of Baiotek’s AI-powered diagnostic technology, software tools, white-label urine strips, and partner solutions ("Services"). By using our Services, you ("Partner" or "Client") agree to comply with these terms.

If you do not agree, please discontinue use immediately.

2. Business Use Only

Baiotek provides technology solely for B2B commercial use. Partners are responsible for ensuring that their own customers ("End Users") understand and comply with any required regulations, disclosures, and usage instructions.

Baiotek does not provide medical advice, diagnosis, or treatment.

3. Use of Technology & Licenses

Baiotek grants Partners a limited, non-exclusive license to use:

• The AI urine-scan engine
• The computer-vision-based positioning technology
• White-label strips and packaging
• Partner dashboards and analytics
• API integrations

The license is granted only during an active agreement and may not be resold or sublicensed unless explicitly approved by Baiotek in writing.

4. Partner Responsibilities

Partners agree to:

• Use the Services ethically and in compliance with local regulations
• Provide accurate end-user instructions
• Maintain data security on their own systems
• Avoid misleading claims or marketing statements
• Not reverse-engineer or replicate Baiotek technology
• Ensure proper storage and handling of Baiotek strips

5. Data & Privacy

Baiotek processes biometric color data through its AI models for interpretation.

Partners are responsible for:

• obtaining user consent for data collection
• complying with GDPR or local equivalents
• Ensuring lawful use of insights within their ecosystem.

Baiotek does not sell or share personal data.

Aggregated, anonymized data may be used to improve algorithm performance.

6. Product Accuracy & Limitations

• Results are informational
• Not medical or diagnostic
• Dependent on proper use and scanning conditions

Baiotek is not responsible for incorrect usage, poor lighting conditions, incompatible devices, or partner-modified user flows.

7. Intellectual Property

All software, algorithms, strip designs, packaging, dashboards, and brand assets remain the exclusive property of Baiotek. Partners may only use approved assets within the agreed scope of work.

8. Payments & Subscriptions

Access to Baiotek Services may be subscription-based or contract-based. Partners agree to timely payment of all fees and understand that:

• Late payments may result in suspension of services
• Refunds are not provided for partial usage
• Pricing may change with prior notice

9. Termination

Either party may terminate the agreement according to the terms of the commercial contract.

After termination:

• Partner access to Baiotek systems is revoked
• White-label rights are withdrawn
• All Baiotek intellectual property must be removed from partner products, apps, and marketing

Outstanding payments remain due.

10. Liability

Baiotek is not liable for:

• Partner marketing or claims
• Incorrect use of strips or scanning
• Business losses, indirect damages, or misuse of results
• Health decisions made by end users

Maximum liability is limited to the amount paid by the Partner in the preceding 12 months.

11. Compliance & Certifications

Baiotek complies with applicable product standards (e.g., CE, FDA registration). Partners are responsible for ensuring compliance with all local regulations, especially when reselling strips or using Baiotek technology in their own products.

12. Amendments

Baiotek may update these Terms & Conditions periodically. Continued use of the Services constitutes acceptance of the updated terms.
